Annual Audit

The audit of the annual financial statements serves to ensure the control and transparency of a company’s accounting. It is intended to ensure that the annual financial statements give a true and fair view of the company’s net assets and financial position. We clarify the following questions with you:

On the one hand, corporations, such as GmbH, AG and KGaA, and on the other hand partnerships, such as OHG, KG, are obliged to have their annual financial statements audited if no natural person is a personally liable partner and certain size criteria have been exceeded.

The audits of financial service providers, financial institutions, leasing companies and commercial banks include not only their annual audits, but also their regulatory obligations under the German Banking Act (KWG), Securities Supervision Act (WpIG) and Securities Trading Act (WpHG). They are therefore a complex and multi-layered process that encompasses various aspects.

Special Tests

Starting with the design of the individual formation processes, we advise you on all the regulations you need to observe. We draw up articles of association/bylaws, shareholder resolutions and managing director contracts for you and support you in compiling the documents required for notarization. We also coordinate all the necessary steps with the notary for you. Once the company has been established, we draft further contracts for you, such as employment contracts, general terms and conditions, consultancy agreements, etc. This allows you to concentrate fully on your business.

In addition to the “classic” audits, our field of activity also includes statutory or voluntary special audits, such as:

Audit of the recoverability of contributions in kind upon formation and capital increase
